In short
- These terms apply to www.intero-tms.com and to the Intero TMS application, operated by Synaps Global Trade Ltd.
- Intero TMS is proprietary software. Access is by invitation only, for authorized users of companies we have agreed to serve.
- Each company owns its own data. We own the software.
- If a company has a separate written agreement with us, that agreement takes priority over these terms.
1. About these terms
These Terms of Use ("Terms") are an agreement between you and Synaps Global Trade Ltd. ("Synaps", "we", "us"), a company based in Ontario, Canada. They cover:
- the website at www.intero-tms.com (the "Website"); and
- the Intero TMS application, including company sign-in pages at *.intero-tms.com, customer portals, and the emails and documents it sends (together, the "Service").
By using the Website or the Service, you agree to these Terms. If you use the Service on behalf of a company (a "Company"), you confirm that you are authorized to do so, and "you" includes that Company.
If a Company has signed a separate agreement with Synaps for the Service, that agreement governs where it conflicts with these Terms.
2. The Service is private
Intero TMS is proprietary software that is currently owned and operated privately. It is not offered for sale or public sign-up. Access is granted only to users invited by a Company that we have agreed to serve, or by us. We may grant, limit or withdraw access at our discretion.
3. Accounts and security
- Keep your sign-in details confidential, and do not share your account.
- You are responsible for activity under your account. Tell us promptly at contact@intero-tms.com if you suspect unauthorized use.
- Each Company is responsible for the users it invites, the roles it assigns them, and removing access when someone leaves.
4. Acceptable use
You agree not to:
- access, or attempt to access, another Company's data, or any part of the Service you are not authorized to use;
- probe, scan or test the Service's security, or interfere with its operation, except with our written permission;
- copy, modify, reverse-engineer, decompile or create derivative works of the Service, except where the law expressly allows it;
- resell, sublicense or provide the Service to anyone else, or use it to build a competing product;
- use automated tools to extract data or place excessive load on the Service;
- upload malicious code, or content that is unlawful or that infringes anyone's rights; or
- use the Service to send unsolicited or unlawful messages, including in breach of Canada's Anti-Spam Legislation (CASL).
5. Company data
Each Company keeps all rights to the information it and its users enter into the Service ("Company Data"). The Company grants Synaps permission to host, process, transmit and display Company Data only as needed to provide, secure and support the Service for that Company. Each Company is responsible for the accuracy and lawfulness of its Company Data, and for having any consents needed to enter it and to send communications through the Service.

6. Communications sent through the Service
When a Company uses the Service to send rate confirmations, invoices, statements, notifications or invitations, it sends them in its own name, and the Company is responsible for their content. Recipients should direct questions about a shipment, invoice or payment to that Company.
7. Third-party services
The Service works with third-party services, such as Intuit QuickBooks Online (when a Company connects its account) and Google Maps Platform (for address lookup and distances). Your use of those features is also subject to the providers' own terms, including the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy. We are not responsible for third-party services. A Company may disconnect an integration at any time.
8. Our intellectual property
The Website, the Service, the software behind them, and the Intero name, logos and branding belong to Synaps or its licensors and are protected by law. We give authorized users a limited, non-exclusive, non-transferable and revocable right to use the Service for the Company's internal business purposes while their access remains active. All other rights are reserved. If you send us suggestions or feedback, we may use them without obligation to you.
9. Availability and changes
We work to keep the Service available and secure, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance, and we may change, add or remove features. Where a change significantly affects how a Company uses the Service, we will try to give reasonable notice.
10. Suspension and ending access
We may suspend or end access to the Service if these Terms are breached, if we need to in order to protect the Service, other Companies or the public, or if our arrangement with the Company ends. Where practical, we will give the Company notice and a reasonable opportunity to export its Company Data.
11. Disclaimer
To the fullest extent permitted by law, the Website and the Service are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. The Service supports business decisions but does not replace them. Each Company remains responsible for checking the rates, distances, calculations, documents, tax treatment and accounting entries it relies on.
12. Limitation of liability
To the fullest extent permitted by law, Synaps will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business or data, arising out of or relating to the Website or the Service. Synaps's total liability for all claims relating to the Website or the Service is limited to the greater of (a) the amounts the Company paid Synaps for the Service in the twelve months before the claim arose, and (b) one hundred Canadian dollars (CAD $100). Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnity
Each Company agrees to indemnify Synaps against third-party claims arising from its Company Data, from communications it sends through the Service, or from its users' breach of these Terms.
14. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction over any dispute relating to these Terms, the Website or the Service.
15. General
We may update these Terms from time to time. The "last updated" date above shows when they last changed, and continued use after a change means you accept it. If any part of these Terms is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it. You may not transfer your rights under these Terms without our consent.
